MiCompli Distributor Agreement

1. Independent contractor
You participate in the MiCompli distributor program as an independent contractor. Nothing in this agreement creates an employment, agency, partnership, or franchise relationship. You have no authority to bind Compli LLC.
2. Referrals and attribution
On approval, you receive a personal referral link and code. Attribution to you is locked when a customer completes their first paid checkout via your link or code (last-click before first checkout wins) and never transfers between distributors. Attribution terminates permanently when that customer's subscription lapses or is cancelled; a returning customer is a house account regardless of how they return.
3. Commission
Your commission is 20% of collected subscription revenue (paid invoices net of refunds and disputes) from customers attributed to you. No commission accrues on failed payments or anything other than money actually received. Refunds and disputes are clawed back proportionally from your next payout.
4. Payouts
Commissions are computed monthly in arrears and paid via Stripe Connect on a fixed day of the following month. You must complete Stripe Connect onboarding (identity, bank, and tax information) before any payout; Stripe handles tax documentation including 1099-NEC. The minimum payout is $25; smaller balances roll forward without expiry.
5. Truthful marketing
You agree to describe MiCompli accurately and to make no claims beyond the approved set, including: never describing MiCompli as HIPAA-compliant or claiming MiCompli stores or processes protected health information; never claiming the policy library is attorney-reviewed unless Compli LLC has published that claim; and never promising legal outcomes. The approved data claim is: account and documents are stored securely on MiCompli's infrastructure; MiCompli does not collect or store sensitive personal data (no Social Security numbers, no health information, no employee census or dependents); the only employee information held anywhere is a name, in two places — the Time-Off tool, which records employee names and hours, and the annual-notices distribution log, which records who received each notice and when; and MiCompli never sells customer data.
6. No exclusivity; no fees
The program is non-exclusive in both directions. There are no participation fees, no quotas, and no payments of any kind tied to recruiting — compensation derives solely from product revenue.
7. Customer data visibility
For customers attributed to you, you see: business display name, subscription status, and start date. You never receive customer company data, employee data, or generated documents — these never reach Compli LLC's servers at all.
8. Term, suspension, and termination
Either party may terminate at any time with notice. Compli LLC may suspend or terminate your participation for violation of this agreement, including the truthful-marketing obligation. On suspension or termination, accrual of new commission stops; your accrued, unpaid balance is paid out on the normal schedule.
9. Governing law
Michigan law governs this agreement.
